   THIS AGREEMENT made between the party named above, herein referred to as "CLIENT", and ALL-STAR MUSIC & EVENTS CO. at Vancouver, Washington, hereinafter referred to as "ALL-STAR."

   WHEREAS, ALL-STAR is engaged in the business of providing entertainment in the form of Disc Jockey Entertainment, Theme Parties, Casino and Gaming Entertainment, and Item Rentals. The CLIENT desires the following services at a function the CLIENT is sponsoring. It is agreed as followed:

5.      The CLIENT will arrange for access to the function location for ALL-STAR to be able to set up their            equipment at least 1 1/2 hrs prior.

6.        The Client requests the following Services or Equipment at their function.

7.        Total fees due to ALL-STAR for this function:

8.       CLIENT agrees to pay a deposit of $ and the BALANCE to be paid before ALL-STAR Begins the                     function.

9.       In the unlikely event that any situation would occur to prohibit ALL-STAR from fullfilling this                           agreement, it is agreed that ALL-STAR will not be held responsible for any debt or cost, other than           the total fee paid to A.S.

10.    In the event of a cancellation, the deposit is non-refundable.

11.    If CLIENT cancels function within 30 days of function date, CLIENT shall be responsible for 25% of           total fee due to ALL-STAR unless otherwise agreed by ALL-STAR. If CLIENT cancels function
          within 14 days of function date, CLIENT shall be resposible for 50% of total fee due to
          ALL-STAR unless otherwise agreed by ALL-STAR.

12.     CLIENT shall reimburse ALL-STAR for all expenses incurred in enforcing its rights under this           agreement. CLIENT agrees to hold ALL-STAR harmless for incidental damages the client recieves           as a result of the services provided. CLIENT agrees to accept responsibility for damages or loss of           equipment caused by the CLIENT or the Clients Guests.
